These Terms and Conditions define the framework for cooperation between GenadeGroen and its professional customers. Placing an order or entering into cooperation implies full acceptance of these Terms and Conditions.
Scope of Activities
GenadeGroen is engaged in the supply and distribution of flower bulbs, flower seeds, and flower cuttings for professional cultivation and commercial production. All products are supplied exclusively for professional use. Retail sales or sales for private consumption are not part of our business activities.
Orders and Confirmation
All orders are processed based on a customer request and following the issuance of an official quotation. An order is considered binding only after the quotation has been confirmed in writing. Any changes to an order require mutual agreement between both parties.
Pricing
Prices are determined based on product type, order volume, delivery timing, and market conditions. Prices stated in the official quotation are valid only for the period specified therein, unless otherwise agreed in writing.
Payment Terms
Payment terms are defined in the official quotation and may vary depending on the product, delivery destination, and the customer’s order history. Shipment of goods is subject to full compliance with the agreed payment terms.
Product Quality and Limitation of Liability
GenadeGroen undertakes to deliver products in accordance with the agreed specifications. Final product performance depends on factors such as cultivation conditions, production management, planting time, climatic circumstances, and post-delivery care, which are beyond the supplier’s control.
GenadeGroen’s liability is limited to the initial condition of the products at the time of delivery.
Transport, Delivery, and Transfer of Risk
Transport conditions, shipping method, and delivery timing are agreed upon during the order process. The transfer of risk is determined according to the agreed delivery terms. The customer is required to inspect the products immediately upon delivery.
Claims and Non-Conformity
In the event of significant damage or material non-conformity with the agreed specifications, the customer must notify GenadeGroen as soon as possible after delivery. Claims can only be reviewed if the products remain in their original condition.
Force Majeure
GenadeGroen shall not be held liable for delays or failure to perform resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, severe market disruptions, transport interruptions, legal restrictions, or other unforeseeable events.
Governing Law
All agreements and cooperation are governed by the laws applicable in the place of the company’s registration, unless otherwise agreed in writing.
